Independent Directors
Luxembourg resident independent directors are a requirement for most regulated and non regulated vehicles, either for governance and/or taxation reasons.

With a wide range of experience across UCITS and alternative funds and extensive experience across different asset classes we are able to provide an independent Director contracted on either a corporate or personal level. Without contractual links to authorised Management Companies, AIFMs or other PSFs this is a totally Independent service which is provided to funds, SPVs or a combination there of.

We follow best practice guidelines as produced by ILA (Luxembourg Directors Association) and ALFI (Luxembourg fund industry group). Fees are dependent on the nature of the vehicle and are extremely competitive within the market.

Current mandates include Private Equity, Real Estate, Debt, Financing, AIFM and Portfolio Company mandates.

Consultancy
The company is able to provide consultancy services across a wide range of subjects within the security servicing and fund industry.

We specialise in Depositary and fund administration; risk management, fund distribution and AML; and include structuring and provision of service providers on a consultancy basis. The consultancy can include specific project management and/or ongoing support, as required. We have an extensive network of contacts both inside and outside of Luxembourg to enable us to provide this service.

Recent projects have included set up of a Luxembourg domiciled fund and choice of service providers; consultancy on branding and distribution of a Luxembourg UCITS fund; analysis on the future of transactional banking, competitive landscape of custodians and management moves.

We have also acted as expert witness in a dispute regarding Depositary services.

Fees are charged on a project or hourly basis depending on the nature of the assignment.

Training
We are able to provide technical training across a range of subjects.

Past training sessions have included programmes on Depositary services, private equity and AML. We currently organise specialist training programmes for Depositary oversight aimed at Board Directors and conducting officers of both UCITS funds, Management Companies and AIFM.

This includes a class room based session with consultancy follow up included in the pricing.

Conference Speaker
Our partners are regular speakers at industry conferences in both Luxembourg and London.

We have spoken on a number of different issues at ALFI conferences and INFORMA across both UCITS and AIFMD, covering structuring, regulation and distribution.
